The amendments were completed in connection with the ~~issuance~~overall revision of the ~~Notes,~~transaction ~~the~~documents ~~forms~~for ofthese ~~which~~asset-backed ~~were~~securities ~~filed~~transactions asundertaken ~~exhibits~~by the Registrants to incorporate the ~~Registration~~new ~~Statement~~transactional ~~filed~~requirements byunder Regulation AB. The amendments update and modernize the ~~Registrant~~agreements, ~~with~~make conforming revisions to other documents revised as a result of Regulation AB and make the ~~Securities~~agreements simpler and easier to read and understand. The amendments are not expected to have a material adverse effect on any Exchange ~~Commission~~Noteholders ~~under~~or any Noteholders (each as defined in the ~~file~~Registration ~~numbers~~Statement), ~~333-173928~~and were completed according to the amendment provisions of each applicable agreement.

Item 1.02 Termination of a Material Definitive Agreement.

This Current Report on Form 8-K is being filed to disclose the termination of a definitive agreement that was filed with, or incorporated into, the Registration Statement of the Registrants and is material to the asset-backed securities transactions contemplated by the Registration Statement.

On December 1, 2015, the Termination of Intercreditor Agreement listed Item 9.01(d) below was entered into by the parties described in Item 9.01(d) and the Intercreditor Agreement was terminated. The agreement was terminated because the original interest holders named in the agreement have been paid in full, and the remaining interest holders are all subject to substantially similar intercreditor and subordination provisions in the Second Amended and Restated Credit and Security Agreement and other relevant transaction documents.
