Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

The Adelphia Recovery Trust (the “ART”) is a Delaware Statutory Trust formed pursuant to the First Modified Fifth Amended Joint Chapter 11 Plan of Reorganization of Adelphia Communications Corporation and Certain Affiliated Debtors, which became effective February 13, 2007. The Trust holds certain litigation claims transferred pursuant to the Plan against various third parties and exists to prosecute the causes of action transferred to it for the benefit of holders of Trust interests.

The ART announced on July 24, 2014, that it has filed a motion with the United States Bankruptcy Court for the Southern District of New York seeking approval to extend the term of the ART for approximately two years through December 31, 2016. As set forth in greater detail in the ART’s motion, Adelphia’s plan of reorganization established an initial five-year term for the ART, subject to the Trustees’ right to extend the term with the Bankruptcy Court’s approval. The Bankruptcy Court previously approved an extension of the ART from February 13, 2012 to December 31, 2014. Although the Trust has resolved certain of its causes of action and distributed $275 million to interest holders, other causes of action have not been and are not likely to be resolved by December 31, 2014, when the ART’s extended term expires. An extension will provide additional time to resolve the ART’s pending causes of action and permit an orderly termination of the ART.
