Item 1.01. Entry into a Material Definitive Agreement.

On ~~June~~October 2428, 2013, New Mountain Finance Holdings, L.L.C. amended its $~~230~~250 million credit facility maturing on October 27, 2016 (the “Holdings Facility”) provided by Wells Fargo Bank, National Association.

The amendment to the Holdings Facility increased the total borrowing amount permitted under the Holdings Facility by $2030 million to $~~250~~280 million.
