Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2012, Ivan Trifunovich resigned from his position as Executive Chairman and member of the Company’s board of directors. Mr. Trifunovich also gave his resignation effective September 14, 2012 from his position as President and Chief Executive Officer of the Company. Neither Mr. Trifunovich’s decision to resign from his position on the board of directors or from his position as an officer of the Company arose or resulted from any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
