Item 8.01. Other Events.

On May 24, 2010, Smurfit-Stone Container Corporation issued a press release announcing that it had reached a resolution with representatives of holders of its common and preferred stock who were prosecuting objections to the Company’s Chapter 11 Plan of Reorganization.

A copy of the press release is attached hereto as Exhibit 99.1.
