- [F1]Reflects all of the outstanding shares of Dakota Growers Pasta Company, Inc. ("Dakota Growers") not tendered in the tender offer described in the Tender Offer Statement on Schedule TO, as amended or supplemented (the "Schedule TO"), initially filed with the Securities and Exchange Commission on March 23, 2010 by Viterra Inc. ("Viterra") and its wholly-owned subsidiaries, Agricore United Holdings Inc. ("AUH") and Bluebird Acquisition Corporation ("Bluebird"), which shares may be deemed to have been acquired by Viterra and AUH as a result of the consummation of the "short-form merger" under Delaware law as described in the Schedule TO (the "Merger"). At the effective time of the Merger, these shares were cancelled and ceased to exist.
- [F2]Prior to the Merger, Viterra, though AUH, held 5,348 shares of the common stock, par value $.01 per share, of Bluebird (the "Bluebird Shares"), which represented all of the issued and outstanding capital stock of Bluebird. At the effective time of the Merger, each Bluebird Share was converted into one share of common stock of Dakota Growers, as the surviving corporation of the Merger, and as a result Viterra, though AUH, acquired 100% of the equity interest of Dakota Growers.
