Item 8.01 Other Events.

On May 16, 2008, Norcross Safety Products L.L.C. (the “Company”) issued a press release announcing the acceptance of and payment for 100% of its outstanding 9⁷/₈ % Senior Subordinated Notes due 2011 (the “Notes”) tendered pursuant to the terms set forth in the Company’s Offer to Purchase and Consent Solicitation Statement dated April 14, 2008. A copy of the press release announcing the acceptance of and payment for the Notes is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
