Item 5.02. Departure of Director.

By letter dated June 19, 2007, Martin E. Maleska, a VCampus director since 2001, resigned from the Board, effective at the close of business on June 19, 2007. VCampus is actively pursuing outside director candidates to replace Mr. Maleska on the Board.

John Birdsong, a current member of the Board, has been appointed as Chairman of the Audit Committee and the Audit Committee Financial Expert.
