On May 30, 2007, the board of directors of Boston Capital Real Estate Investment Trust, Inc. (the “Company”), ~~issued~~upon ~~a press release (~~the ~~“Press~~recommendation ~~Release”)~~of ~~announcing that~~ the ~~Company’s~~compensation ~~2007 Annual Meeting of Shareholders~~committee, ~~originally~~approved ~~scheduled~~an ~~for~~increase ~~3:00 p.m.,~~in ~~local time on Tuesday, May 29, 2007 at~~ the ~~offices~~annual ofretainer ~~Goodwin~~paid ~~Procter~~by ~~LLP, Exchange Place, 53 State Street, Boston, MA 02109 was adjourned due~~the toCompany ~~the fact that shareholders entitled~~ to ~~cast~~its ~~50%~~independent ofdirectors ~~the~~from ~~votes at the meeting were not present~~$50,000 inper ~~person~~annum orto ~~by proxy~~$75,000 ~~and thus, a quorum was not present at~~per ~~the meeting to conduct business~~annum. ~~The~~ ~~meeting~~Such increase was ~~adjourned~~approved ~~until~~retroactive ~~10:30~~to ~~a.m.,~~September ~~local time~~1, ~~Tuesday, June 26, 2007 at the offices of Goodwin Procter LLP, Exchange Place, 53 State Street, Boston, MA 02109~~2006.

AThe ~~copy~~retroactive ofincrease in the ~~Press~~annual ~~Release~~retainer ispaid ~~attached~~by ~~hereto~~the Company to its independent directors has caused an adjustment to the total compensation earned by the Company’s independent directors for the fiscal year ended December 31, 2006 as ~~Exhibit~~disclosed ~~99.1~~under ~~and~~the iscaption “Compensation of Directors and ~~incorporated~~Executive ~~into~~Officers” ~~this~~in ~~Current~~the ~~Report~~Company’s Proxy Statement filed with the Securities and Exchange Commission on ~~Form~~April ~~8-K~~17, 2007. The total compensation earned in fiscal 2006 by ~~reference~~the Company’s independent directors is as follows: (i) Philip S. Cottone: $69,333, (ii) Kevin C. Phelan: $69,333, and (iii) Nicholas L. Iacuzio: $77,833.
