Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 25, 2007, Mark E. Ashdown notified DynTek, Inc. (the “Company”) that he intends to resign from his position as Chief Financial Officer effective as of September 30, 2007. Mr. Ashdown is resigning for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company has initiated a selection process for a new Chief Financial Officer but has not identified a replacement for Mr. Ashdown thus far.
