Item 2.02 Results of Operations and Financial Condition and Item 7.01 Regulation FD Disclosure

On November 10, 2006, the Registrant’s Board of Directors approved a cash distribution of $207.00 per membership unit for a total distribution of $4,532,886 to its unit holders of record as of September 30, 2006. The Registrant anticipates that the distribution will be paid before the end of November 2006.

A copy of the press release announcing and describing this distribution was made available on the Registrant’s website on November 13, 2006 and is attached hereto as Exhibit 99.1.
