Item 8.01. Other Events

In a press release dated June 14, 2006 (filed as Exhibit 99.1 to this Form 8-K), Brand Services, Inc. (‘the Company”), a wholly-owned subsidiary of Registrant, announced that, in connection with its previously announced tender offer and consent solicitation for any and all of its $150,000,000 aggregate principal amount of outstanding 12% Senior Subordinated Notes due 2012, which commenced May 9, 2006, it has further extended the time by which holders must tender notes in response to the tender offer. The tender offer, which was scheduled to expire at 5:00 p.m., New York City time, on June 28, 2006, has been extended to 5:00 p.m., New York City time, on July 13, 2006, unless further extended.

In addition, the Company further extended the date by which the dealer manager and solicitation agent will determine the pricing for the tender offer. The price determination date, which was scheduled to be at 10:00 a.m., New York City time, on June 14, 2006, has been extended to 10:00 a.m., New York City time, on June 28, 2006, unless further extended.
