Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 26, 2006, Jon Barfield notified us of his resignation from our Board of Directors, effective on such date. Mr. Barfield’s resignation was not due to any disagreement with us on any matter relating to our operations, policies or practices.
