Item 8.01. Other Events

On December 31, 2004 CNH Wholesale Receivables Inc., a Delaware corporation, was converted into CNH Wholesale Receivables LLC, a Delaware limited liability company, pursuant to Section 266 of the Delaware General Corporation Law and Section 18-214 of the Delaware Limited Liability Company Act. The Limited Liability Agreement of CNH Wholesale Receivables LLC is referenced in Item 9.01 below.
