Item 8.01. Other Events

Pursuant to that certain Amended and Restated Master Pooling and Servicing Agreement, dated as of May 1, 1999, among Yamaha Motor Receivables Corporation, Yamaha Motor Corporation, U.S.A. (the “Servicer”), and JPMorgan Chase Bank, a New York banking corporation (successor to the Fuji Bank and Trust Company), as amended, supplemented or otherwise modified and in effect from time to time, the Servicer prepared a Monthly Servicer’s Certificate with respect to the October 15, 2004 Distribution Date for the Collection Period ending September 30, 2004. A copy of such Monthly Servicer’s Certificate is attached hereto as Exhibit 8.01.
