Attached hereto as Exhibit 99.1 and incorporated by reference herein is a press release of April 15, 2004 announcing the amendment and restatement of an earlier agreement to sell Golden State Vintners, Inc. (the “Company”) in a going private transaction. The earlier agreement has been modified to, among other things, raise the price per share to $7.80 in cash.
