Item 3.02 Unregistered Sale of Equity Securities

On May 10, 2007 we issued an aggregate of 3,550,000 common shares (the “Shares”) to our directors and officers pursuant to the terms of their respective employment agreements with our company.

The Shares were issued to six individuals (our directors and officers) pursuant to the exemption from registration provided for under Rule 506 of Regulation D, promulgated under the United States Securities Act of 1933, as amended.
