Regulation FD Disclosure

On August 24, 2006, we issued a news release announcing the execution of a letter of intent for our company to purchase the interests in the “North Franklin Project” held by Silver Star Energy Inc. and Fidelis Energy Inc. Silver Star Energy Inc. has a 40% working interest and Fidelis Energy Inc. has a 35% working interest in the North Franklin Project.
