("Cornerstone") pursuant to which each share of issuer common stock was exchanged for 1.818 Cornerstone common shares and 0.220 Cornerstone Series B convertible preferred shares. Series B convertible preferred shares will convert into Cornerstone common shares on a one for one basis no later than October 1, 2003. Cornerstone's common shares closed at a price of $7.50 on the New York Stock Exhange on the effective date of the merger.
