Item 8.01 Other Events.

This current report on Form 8-K relates to a ~~notice~~distribution ~~given~~made to holders of the Certificates issued by the Trust in connection with the partial call warrant exercise for the CorTS Trust for U .S. West Communications Debentures. Specific information with respect to the distribution is filed as Exhibit 1 hereto.

OnSection ~~July~~9 ~~19,~~– ~~2012,~~Financial ~~the~~Statements Warrantholder gave a notice of intent to exercise 10,000 Call Warrants on August 3, 2012. On August 1, 2012, the Warrantholder gave a notice of intent to exercise the remaining 12,700 Call Warrants on August 16, 2012. Pursuant to the notice of intent given on August 1, 2012, the Warrantholder agrees to purchase $12,700,000 principal amount of the 7.125% debentures held by the Trust, and agrees to make payment equal to 95% of the principal amount of the 7.125% debentures being purchase pursuant to the exercise of the Call Warrants plus accrued and unpaid interest thereon to and including the Warrant Exercise Date, determined to be Thursday, August 16, 2012 (the “Warrant Exercise Date” or “Redemption Date”).Exhibits

U.S. Bank Trust National Association, as Trustee for the CorTS Trust for U.S. West Communications Debentures, hereby gives notice with respect to the Distribution Date of August 3, 2012 (the "Distribution Date") as follows:

1.	The amount of the distribution payable to the Certificateholders on the Distribution Date allocable to principal and premium, if any, and interest, expressed as a dollar amount per $25 Certificate, is as set forth below:

4.	$12,700,000 aggregate principal amount of Qwest Corporation f/k/a U.S. West Communications Inc. 7.125% Debentures due November 15, 2043 (the "Term Assets") are held for the above trust.

5.	At the close of business on the Distribution Date, 482,600 Class A Certificates representing $12,065,000 Aggregate Certificate Principal Balance were outstanding.

6.	The current rating of the Term Assets is not provided in this report. Ratings can be obtained from Standard & Poor's Ratings Services, a division of The McGraw-Hill Companies, Inc., by calling 212-438-2400 and from Moody's Investors Service, Inc. by calling 212-553-0377.
