Item 8.01 Other Events.

This current report on Form 8-K relates to a distribution made to ~~the~~ holders of ~~certificates~~the Certificates issued by the ~~Trust in connection with the partial call warrant exercise for the~~ CorTS Trust for USU S West Communications Debentures. ~~Specific information with respect to the distribution is filed as Exhibit 1 hereto.~~

~~Section~~The 9Warrantholder –has ~~Financial~~given ~~Statements~~notice to the Trustee to exercise $10,000,000 Call Warrants for the purchase of $10,000,000 of the Term Assets held by the Trust, and ~~Exhibits~~agrees to make payment equal to the sum of 95% of the principal amount of the Term Assets being purchased pursuant to the exercise of the Call Warrants plus accrued and unpaid interest thereon to and including the Warrant Exercise Date, determined to be Tuesday, July 31, 2012 (the “Warrant Exercise Date” or “Redemption Date”).

If the Trustee receives the Warrant Exercise Purchase Price by 11:00 a.m. (cNew York City time) ~~Exhibits:~~on the Redemption Date, then (i) $9,500,000 Class A Certificates issued by the Trust will be redeemed on the Redemption Date at a price of $25.00 per Class A Certificate plus accrued interest of $0.395833 per Class A Certificate to the Redemption Date.

U.S. Bank Trust National Association, as Trustee for the CorTS Trust for US West Communications Debentures, hereby gives notice with respect to the Distribution Date of June 25, 2012 (the "Distribution Date") as follows:

1. The amount of the distribution payable to the Certificateholders on the Distribution Date allocable to principal and premium, if any, and interest, expressed as a dollar amount per $25 Certificate, is as set forth below:

4. $32,700,000 aggregate principal amount of Qwest Corporation f/k/a US West Communications Inc. 7.125% Debentures due November 15, 2043 (the "Term Assets") are held for the above trust.

5. At the close of business on the Distribution Date, 1,242,600 Class A Certificates representing $31,065,000 Aggregate Certificate Principal Balance were outstanding.

6. The current rating of the Term Assets is not provided in this report. Ratings can be obtained from Standard & Poor's Ratings Services, a division of The McGraw-Hill Companies, Inc., by calling 212-438-2400 and from Moody's Investors Service, Inc. by calling 212-553-0377.
