This current report on Form 8-K relates to a distribution made to holders of the Certificates issued by the CorTS Trust for Walt Disney Notes.

Structured Products Corp., the registrant hereunder, acts as depositor of the CorTS Trust for Walt Disney Notes (the "Trust"). The ~~issuer~~ sole assets of the ~~underlying~~Trust ~~securities~~are $35,000,000 or7.0% ~~guarantor~~Global ~~thereof,~~Notes ordue ~~successor~~March ~~thereto~~1, as ~~applicable,~~2032 is(the ~~subject~~"Term Assets") issued by The Walt Disney Company. Pursuant to the ~~information~~trust ~~reporting~~agreement ~~requirements~~governing ofthe Trust, the ~~Securities~~ ~~Exchange~~Trust ~~Act~~has ofissued ~~1934~~1,400,000 asCorporate–Backed ~~amended~~Trust Certificates (the "~~Exchange Act~~Certificates")~~. Periodic~~ ~~reports~~representing ~~and~~$35,000,000 ~~other~~aggregate ~~information~~certificate ~~required~~principal tobalance beof ~~filed pursuant~~Notes. 5. At the close of business on the Distribution Date, 1,400,000 Class A Certificates representing $35,000,000 aggregate Certificate Principal Balance and $35,000,000 aggregate Notional Amount of Class B Certificates were outstanding.
