Item 8.01. Other Events.

On October 30, 2009, TBS International Limited issued a press release announcing that the company has scheduled shareholder meetings to vote on the proposed change in place of incorporation of the company whose shares TBS shareholders own to Ireland from Bermuda. The press release is furnished as Exhibit 99.1 hereto.
