- [F1]On December 21, 2023, the Issuer's Board of Directors approved the award of 76,000 restricted shares of the Company's common stock to Mr. Macdonald, pursuant to a Restricted Stock Award Agreement, dated December 22, 2023, under the Company's 2011 Plan. On December 22, 2023, 2,875 of the restricted shares vested, an additional 7,500 will vest on December 22, 2024, another 13,125 restricted shares will vest on December 22, 2025, another 15,000 restricted shares will vest on December 22, 2026, another 18,750 restricted shares will vest on December 22, 2027, and the remaining 18,750 restricted shares will vest on December 22, 2028, provided, however, that one hundred percent (100%) of the Reporting Person's nonvested restricted stock will become fully vested in the event of a change of control. The Reporting Person is now the holder of 363,809 shares of the Issuer's common stock.
