- [F1]Ms. Jinghua Zhao is a party to an option agreement, dated June 30, 2009, as amended, with Guohong Zhao, pursuant to which Mr. Guohong Zhao has the right to purchase 100% of the equity interest of Wisetop International Holdings Limited at an exercise price of $3,246,160 during the period commencing on the 180th day following June 30, 2009 and ending on June 30, 2012. On November 29, 2011, Mr. Guohong Zhao exercised his option. On December 15, 2011, the shares were transferred to Mr. Guohong Zhao.
