~~Section~~Brand Neue Corp. (“Brand Neue”) has entered into a memorandum 1of -understanding ~~Registrant~~(MOU) with Worldwide L.E.D. Lights Inc. (“Worldwide”) to further strengthen the company’s ~~Business~~InteLEDgent Lighting solutions and ~~Operations~~its line of innovative LED Lighting products. The partnership will provide Brand Neue access to established LED manufacturing facilities and enable InteLEDgent to source Worldwide’s high quality LED Lighting products at cost.

~~Item~~Worldwide 1L.02E.D. ~~Termination~~Lighting offirst aintroduced ~~Material~~its ~~Definitive~~eco-friendly energy ~~Agreement~~saving LED lighting solutions to the market in 2008. Since that time that company has been selling its UL certified long-lasting LED lighting in the eastern U.S. and Europe. Worldwide has invested $3.5 million in developing an innovative LED Lighting product line and now has an established customer base including universities, select auto dealerships, restaurant chains, and various high-rises and parking garages in New York, Pennsylvania, Florida.

OnUnder ~~August 27,~~the ~~2010~~terms of the agreement, ~~Mr.~~Brand ~~John~~Neue J.will ~~Ryan~~create ~~III~~new subsidiary ~~resigned~~company asand market Worldwide’s LED products under the ~~President~~InteLEDgent Lighting ofbrand. The new company will be 51% owned by Brand Neue Corp. ( with the remainder ~~“Company”). In~~owned ~~connection~~by ~~with~~the ~~Mr.~~shareholders ~~Ryan’s~~of ~~resignation,~~Worldwide. ~~the Company~~Contracts and ~~Mr.~~technology ~~Ryan~~owned by ~~have~~Worldwide ~~agreed~~will tobe ~~terminate~~transferred to the ~~Consulting~~new ~~Agreement~~subsidiary ~~between~~upon completion of a Mrformal agreement. ~~Ryan~~The ~~and~~management ~~the~~team ~~Company,~~at ~~dated~~Worldwide ~~September~~will ~~29,~~also ~~2009~~transfer (over to the ~~“Ryan~~new ~~Agreement”), effective~~company; aswhere ofthey ~~August~~will ~~27,~~assume ~~2010~~similar leadership roles.
