One third of the Options vests on the date of approval by the Issuer's stockholders of an amendment and restatement of the Issuer's 1999 Incentive Stock Option Plan (the "Plan") authorizing an increase in the amount of common stock available under the Plan, and 1/24 of the balance vests on the last day of each calendar month during the period beginning February 1, 2010 and ending January 31, 2012, subject to acceleration upon the death or permanent disability of the Reporting Person, or certain other circumstances as specified in the Plan.
