- [F1]These shares of the Issuer's common stock, par value $0.0001 per share ("Shares"), are held for the account of MHR Capital Partners LP, a Delaware limited partnership ("Capital Partners"). Of this amount, 153,667 Shares were acquired as part of Units held for the account of Capital Partners. Each Unit consists of one Share and two warrants to purchase Shares. The warrants are not presently exercisable but only become exercisable upon the later of the Issuer's completion of a business combination or August 25, 2004.
- [F2]The general partner of Capital Partners is MHR Advisors LLC, a Delaware limited liability company ("Advisors"). Mark H. Rachesky, M.D. ("Dr. Rachesky") is the managing member of Advisors. In such capacity, Dr. Rachesky may be deemed to have voting and dispositive power over the Shares and other securities held for the account of Capital Partners.
