- [F1]On June 17, 2009, the reporting person was granted an option to purchase 80,000 shares of common stock of Allied Healthcare International Inc. (the "Company"). Thirty two thousand (32,000) of the shares subject to the option vest as follows: 25% of such shares vest on the date on which the Company files its annual report for its fiscal year ending September 30, 2010; 25% of such shares vest on the second anniversary of the date of grant; and 50% of such shares vest on the third anniversary of the date of grant. The remaining 48,000 shares subject to the option will vest in accordance with the foregoing schedule, but the vesting of such shares is also subject to the achievement by the Company of certain performance criteria in respect of its fiscal year ending September 30, 2010.
