- [F1]These shares were the subject of a grant of restricted stock under the issuer's 2003 Equity Incentive Plan, as amended. 2,083 shares vest on each of June 30, 2008 and June 30, 2009 and 2,084 shares vest on June 30, 2010. 6,250 shares each vest upon the filing of the issuer's 2008, 2009 and 2010 Form 10-K, respectively, if the issuer's Board of Directors determines that the performance metrics setting out the vesting requirements for each respective tranche are achieved. All unvested shares are forfeited upon termination of Mr. Weber's employment or if the shares are not vested by December 31, 2010. Unvested and not forfeited shares terminate upon an acquisition of the issuer and Mr. Weber shall be paid cash equal to two times the difference between the price per share of the issuer's common stock paid by the acquirer and $6.88 per share.
