Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

LandAmerica Financial Group, Inc. (the “Company”) has extended the employment of G. William Evans, Executive Vice President and Chief Financial Officer of the Company, to assist with matters relating to the Company’s Chapter 11 bankruptcy case. It currently is anticipated that Mr. Evans’ employment with the Company will terminate no later than December 31, 2009, unless proceedings in the Bankruptcy Court make further extensions necessary or advisable.
