Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 28, 2013, Encompass Energy Services, Inc. (the “Company”) held its 2013 annual meeting of stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders (i) elected all of the Company’s nominees for director, (ii) ratified the appointment of Ziv Haft, Certified Public Accountants (Isr.), a BDO member firm, as the Company’s independent registered public accounting firm for the year ending December 31, 2013, and (iii) approved, in an advisory vote, the Company’s executive compensation as disclosed in the Company’s proxy statement for the Annual Meeting (the “Proxy Statement”).

A total of 1,727,983 shares of the Company’s common stock were present at the meeting in person or by proxy, which represented approximately 84% of the outstanding shares of the Company’s common stock as of May 3, 2013, the record date for the Annual Meeting.

The names of each director elected at the Annual Meeting and the number of votes cast for or withheld, as well as the number of abstentions and broker non-votes, as to each such director were as follows:
