Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 21, 2025, Emerald Holding, Inc. (the “Company”) held the Annual Meeting of Stockholders (the “Annual Meeting”), at which a quorum was present in person or by proxy.

At the Annual Meeting, holders as of the record date of March 31, 2025 (the “Record Date”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”), outstanding on the date of the Annual Meeting voted upon and approved:

Proposal 1: Re-election of Konstantin (Kosty) Gilis, Todd Hyatt and Lisa Klinger as Class II directors to the Board of Directors, to hold office until the 2028 Annual Meeting of Stockholders or until their respective successors are duly elected and qualified; and

•

Proposal 2: Ratification of the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2025.

As of the Record Date, there were 199,597,204 shares of Common Stock outstanding. At the Annual Meeting, holders of a total of approximately 196,124,330 shares of Common Stock were present in person or represented by proxy, representing a quorum. The results of the votes cast at the Annual Meeting are set forth below:
