- [F1]The shares were acquired pursuant to a Settlement Agreement and Mutual Release entered into on April 22, 2024 (the "Settlement Agreement") by and between the Issuer and RLB Holdings Connecticut, LLC ("RLB") to resolve any and all potential claims or causes of action by the Issuer against RLB in connection with RLB's failure to purchase $2,500,000 shares of the Issuer's common stock, par value $0.001 per share ("Common Stock"), pursuant to a financing agreement previously entered into by and among the Issuer, RLB and certain other investors.
- [F2]Pursuant to the Settlement Agreement, the price was determined based on the average closing price of the Common Stock for the five trading days prior to the date of the Settlement Agreement plus a 20% premium.
