Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2023, Mr. Takeshi Minakata informed Thorne HealthTech, Inc. (the “Company”) of his resignation from the board of directors of the Company (the “Board”), and from all committees of the Board, which resignation was effective on such date. Mr. Minakata informed the Company that he tendered his resignation to focus on projects for Kirin Holdings Company, Limited (“Kirin Holdings”), where he serves as a director and senior executive officer, and certain of Kirin Holdings’ subsidiaries. Mr. Minakata’s resignation is not due to any disagreements with the Company on any of its operations, policies or practices.
