Item 8.01. Other Events.

On February 7, 2007, at a special meeting of the shareholders of Equity Office Properties Trust (“Equity Office”), Equity Office’s common shareholders voted to approve the merger and merger agreement with affiliates of The Blackstone Group. A copy of the press release issued by Equity Office announcing the approval is attached hereto as Exhibit 99.1 and incorporated herein by reference.
