Item 3.01		Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On May 12, 2009, EPIX Pharmaceuticals, Inc. (the “Company”) received notification from The NASDAQ Stock Market LLC (“NASDAQ”) stating that the Company’s common stock would be delisted from The NASDAQ Capital Market effective at the open of the market on May 14, 2009. The delisting of the Company’s common stock is a result of the Company’s failure to comply with NASDAQ Marketplace Rule 5550(b) by evidencing a $35 million market value of listed shares for its common stock for 10 consecutive trading days or by regaining compliance with one of the alternative listing criteria, including a shareholders’ equity of at least $2.5 million.
