Item 2.02 Results of Operations and Financial Condition.

The Company reported its preliminary, unaudited earnings and financial results for the fourth quarter and fiscal year ended December 31, 2008, on January 30, 2009. The Company advised that it will report a net loss of $11.6 million in the fourth quarter of 2008, including a $6.4 million provision for loan losses. For the year, the total provision for loan loss was $17.6 million, resulting in a loss of $32.7 million in 2008.
