OTHER EVENTS. On November 8, 2000, BLC Financial Services, Inc. ("BLC") filed a Form 8-K announcing the execution of an Agreement and Plan of Merger by BLC, Allied Capital Corporation ("Allied") and Allied Capital B Sub Corporation, a wholly owned subsidiary of Allied Capital ("Merger Sub"), pursuant to which Merger Sub will be merged into BLC (the "Merger"). On December 31, 2000, the stockholders of BLC voted at a special meeting of the stockholders to approve the Merger. The Certificate of Merger was effective December 31, 2000, and the merger was thereby consummated. Subsequent to the merger, BLC filed a certificate of amendment to its certificate of incorporation changing its name to Business Loan Express, Inc.
