- [1]Pursuant to the terms of an Agreement and Plan of Merger (the "Merger Agreement"), dated as of October 19, 1999, as amended, among Nabors, Nabors Acquisition Corp. VII ("Merger Sub"), a wholly-owned subsidiary of Nabors, and Bayard, on April 7, 1999, Merger Sub merged with and into Bayard, with Bayard as the surviving corporation. In the merger, Nabors acquired all of the outstanding shares of common stock of Bayard. Each outstanding share of common stock of Bayard was converted in the merger into .3375 shares of common stock of Nabors and $0.30 in cash without interest (collectively, the "Merger Consideration"). In the merger, each of the 1,000 outstanding shares of Merger Sub was converted into one share of common stock of Bayard. As a result of the merger, Nabors owns 1,000 shares of common stock of Bayard.
- [2]In the merger each outstanding option and warrant of Bayard was assumed by Nabors upon the terms set forth in the Merger Agreement.
