ITEM 2.01. Completion of Acquisition or Disposition of Assets.

Prime Group Realty Trust (the “Company”) issued a press release today announcing that on June 14, 2010 two of its subsidiaries that owned the Continental Towers complex in Rolling Meadows, Illinois (the “Property”) conveyed the Property to a designee of the holder of the first mortgage loans on the Property. In exchange, the holder of the loans delivered a release of the loans to the two subsidiaries.
