Item 8.01. Other Events.

On March 15, 2010, BJ Services Company (“BJ Services”) and Baker Hughes Incorporated (“Baker Hughes”) jointly issued a news release regarding the status of the pending merger and the significant likelihood that the stockholder meetings to approve the merger scheduled for March 19, 2010 may be adjourned to a later date in March. The news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
