Item 8.01 Other Events

On November 10, 2009, Altra Holdings, Inc. (“Altra Holdings”) issued a press release announcing the commencement of a cash tender offer for any and all of the outstanding 9% Senior Secured Notes due 2011 of Altra Industrial Motion, Inc.

On November 11, 2009, Altra Holdings issued a press release announcing its intention to offer $200.0 million of senior secured notes due 2016, subject to market conditions.

Copies of the press releases announcing the tender offer and the intention to offer notes are filed and attached hereto as Exhibits 99.1 and 99.2, respectively, and incorporated by reference.
