~~Appointment~~On October 12, 2009, the Board of ~~Xioling~~Directors ~~Chen~~(the “Board”) of Asia Electrical Power International Group Inc. (the “Company”) appointed Jiansheng Xu to the Board to serve as ~~new~~a ~~Secretary~~director for a term expiring at the next annual meeting of shareholders. Mr. Xu fills a non-employee director vacancy on the Board that was created when Dudley Delapenha resigned as a director in September 2008. There are no arrangements or understandings between Mr. Xu and any other persons pursuant to which he was appointed as a director.

The ~~appointment~~Certificate of ~~Ms.~~Correction ~~Chen~~was aseffective ~~Secretary~~retroactively ~~will~~to ~~not~~December 21, 2006, ~~change~~the ~~her~~effective ~~annual~~date ~~salary~~of ~~for~~the ~~2009~~record ~~which~~that isit ~~$52~~corrected,~~800~~ pursuant to Section 78.195 of the Nevada Revised Statutes.

Since the beginning of our last fiscal year, there have been no transactions or currently proposed transactions between Mr. Li and our company the amount of which exceeds $120,000. As described below, prior to his appointment as our Chief Financial Officer,

Mr. Li served as our Accounting Manager. The appointment as our Chief Financial Officer will not change Mr. Li’s s annual salary for 2009 which is $48,000.

In 1997, Mr. Li graduated from Xiamen University. From 1997 to 1999, Mr. Li worked as accountant with Canada Ports International Fashion Co., Ltd.,. From 1999 to 2004, Mr. Li acted as accounting manager with China International Marine Containers (Group) Co., Ltd. Since Jan. 2005, Mr. Li has been our accounting manager.
