Item 8.01 Other Events.

On August 6, 2008, Greenfield Online, Inc. issued a press release describing certain results of its “go-shop” activities undertaken pursuant to the terms of the merger agreement entered into between Greenfield Online and affiliates of Quadrangle Group LLC (“Quadrangle”). The merger agreement with affiliates of Quadrangle remains in effect and Greenfield Online’s Board of Directors has not changed its recommendation regarding the proposed merger with affiliates of Quadrangle. The press release should be read in conjunction with the note regarding forward-looking statements, which is included in the text of the press release.
