Item 2.02.

Results of Operations and Financial Condition.

As previously announced, on December 9, 2018, Nutrisystem, Inc. (“Nutrisystem”) entered into an agreement and plan of merger (the “Merger Agreement”) with Tivity Health, Inc. (“Tivity Health”). Upon the terms and subject to the conditions of the Merger Agreement, Nutrisystem will become a wholly-owned subsidiary of Tivity Health (the “Merger”). In connection with assisting Tivity Health with the process for obtaining the debt financing to fund the cash component of the consideration to be paid in the Merger, Nutrisystem is providing to potential financing sources preliminary fourth quarter and full year 2018 financial results included in the press release attached as Exhibit 99.1 hereto.
