Item 2.02 Results of Operations and Financial Condition.

On June 11, 2015, Bio-Reference Laboratories, Inc. (the “Company”) and OPKO Health, Inc. (“OPKO”) conducted a joint conference call to discuss (i) the Company’s second quarter financial results and (ii) the previously announced entry into a merger agreement for OPKO to acquire the Company. Attached as Exhibit 99.1 to this Form 8-K is a copy of the transcript of the June 11, 2015 joint conference call.
