Item 7.01 Regulation FD Disclosure

On February 1, 2011, ICON Income Fund Eight A L.P. Liquidating Trust (the “Liquidating Trust”) distributed its 2010 Year End Liquidation Update (the “Liquidation Update”) to the broker-dealers who sold the original limited partnership interests in ICON Income Fund Eight A L.P. The Liquidating Trust will distribute the Liquidation Update to the Liquidating Trust's beneficial interest holders on February 15, 2011. A copy of the Liquidation Update is being furnished as an exhibit hereto.

The information in this Report is provided under Item 7.01 of Form 8-K and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to the liabilities of that section.
