Item 9. Regulation FD Disclosure.

On July 11, 2003, FNB Bancshares, Inc., holding company for First National Bank of the Carolinas, issued a press release announcing its financial results for the second quarter ended June 30, 2003. A copy of the press release is attached hereto as Exhibit 99.1.
