("Company") from CFOex, Bruce Jones, James Schnoes and Calvin Turner (the "CFOex Group") pursuant to the terms of a Settlement and Termination Agreement ("Agreement") dated as of May 21, 2003, and executed on May 27, 2003. Under the terms of the Agreement, the Company will pay the CFOex Group $450,000, $300,000 of which is payable on or before the first anniversary of the closing date. A total of 1,500,000 options were acquired by the Company.
